These Licensing Terms are entered into between:

(“RMG News Academy,” “Company,” “we,” “our,” or “us”)
and the purchaser, user, student, or participant (“User,” “you,” or “your”).
These Licensing Terms govern all access to and use of:
- courses;
- videos;
- downloads;
- templates;
- PDFs;
- worksheets;
- workflows;
- proprietary systems;
- educational materials;
- memberships;
- coaching;
- communities;
- digital products;
- future offerings;
- related Services
(collectively, the “Licensed Materials”).
By accessing, purchasing, downloading, or using Licensed Materials, you agree to these Licensing Terms.
If you do not agree:
DO NOT ACCESS OR USE THE LICENSED MATERIALS.

THESE TERMS CONTAIN:

2. LIMITED LICENSE GRANT
Subject to compliance with these Licensing Terms and the Terms of Service & User Agreement, RMG News Academy grants you a:
LIMITED, REVOCABLE, NON-EXCLUSIVE, NON-TRANSFERABLE, NON-SUBLICENSABLE LICENSE
to access and use Licensed Materials for:
PERSONAL, INDIVIDUAL, NON-COMMERCIAL EDUCATIONAL USE ONLY.
This license is granted solely to:
THE INDIVIDUAL PURCHASER.
The Licensed Materials are:
LICENSED — NOT SOLD.
No ownership interest is transferred.
Access may be revoked for violations.
3. SINGLE-USER LICENSE ONLY
Each purchase grants access to:
ONE (1) INDIVIDUAL USER ONLY.
You may not:
- share logins;
- share passwords;
- share access;
- allow simultaneous users;
- permit third-party viewing;
- distribute access credentials.
Account sharing constitutes:
A MATERIAL BREACH OF THESE TERMS.
4. NEWSROOM, TEAM & ENTERPRISE RESTRICTIONS
Unless expressly authorized in writing:
You may not use one purchase to:
- train newsroom staff;
- train station employees;
- train coworkers;
- train contractors;
- train media teams;
- train organizations;
- train agencies;
- train educational institutions.
Separate:
ENTERPRISE LICENSING
is required for:
- stations;
- broadcasters;
- newsrooms;
- universities;
- agencies;
- organizations;
- media companies;
- businesses.
Unauthorized business or organizational use constitutes:
A MATERIAL BREACH OF THESE TERMS.
5. INTELLECTUAL PROPERTY OWNERSHIP
All Licensed Materials remain the exclusive property of:
RAISHBROOK MEDIA GROUP, LLC
d/b/a RMG News Academy
or its licensors.
Protected materials include but are not limited to:
- videos;
- downloads;
- templates;
- PDFs;
- educational frameworks;
- scanner systems;
- journalism systems;
- licensing systems;
- monetization systems;
- pricing methodologies;
- outreach methods;
- branding;
- graphics;
- trademarks;
- logos.
- guest interviews;
- recorded professional interviews;
- expert commentary;
- bonus interviews;
- supplemental educational recordings; and
- third-party educational contributions licensed to RMG News Academy.
All rights are:
EXPRESSLY RESERVED.
Certain interview recordings, appearances, guest presentations, or supplemental educational materials may be:
LICENSED TO RMG NEWS ACADEMY
and remain protected by:
COPYRIGHT, LICENSE, AND INTELLECTUAL PROPERTY LAW.
You may not:
- reproduce;
- redistribute;
- record;
- republish;
- upload;
- commercially exploit; or
- otherwise share
guest interviews, bonus recordings, or supplemental educational content outside the Services without prior written authorization.
Unauthorized use is prohibited.
6. PROHIBITED USES
You may not:
- copy materials;
- reproduce lessons;
- screen record content;
- pirate materials;
- upload materials;
- repost content;
- resell materials;
- redistribute downloads;
- create derivative copies;
- teach proprietary systems;
- commercially exploit content;
- share via cloud services;
- allow newsroom access.
This includes but is not limited to:
- Google Drive;
- Dropbox;
- Telegram;
- Discord;
- torrent sites;
- shared folders;
- unauthorized LMS systems.
Violations may result in:
- suspension;
- permanent revocation of access;
- legal enforcement;
- injunctive relief;
- damages claims.
except where prohibited by applicable law.
7. AI & MACHINE LEARNING RESTRICTIONS
You may not use Licensed Materials for:
AI TRAINING, MACHINE LEARNING, OR AUTOMATED EXTRACTION.
Prohibited conduct includes:
- uploading materials into AI systems;
- training language models;
- scraping content;
- automated extraction;
- dataset creation;
- prompt engineering using proprietary content;
- commercial AI exploitation.
You may not use Licensed Materials to create:
DERIVATIVE AI-GENERATED EDUCATIONAL PRODUCTS.
Unauthorized AI use constitutes:
A MATERIAL BREACH OF THESE TERMS.
8. COMPETITIVE USE RESTRICTION (3 YEARS)
You agree that for a period of:
THREE (3) YEARS
following purchase of any Licensed Material or Service, you shall not use:
RMG NEWS ACADEMY PROPRIETARY MATERIALS, CONFIDENTIAL METHODS, OR PROTECTED EDUCATIONAL CONTENT
to:
- create substantially similar journalism education programs;
- create substantially similar breaking news training programs;
- reproduce proprietary educational systems;
- commercially exploit confidential educational methods;
- teach proprietary methodologies substantially derived from RMG content;
- create derivative educational products substantially based upon RMG proprietary systems.
For clarity:
THIS RESTRICTION APPLIES ONLY TO PROPRIETARY MATERIALS, CONFIDENTIAL METHODS, AND PROTECTED EDUCATIONAL CONTENT.
Nothing herein restricts:
- lawful competition;
- independent journalism education;
- independent experience;
- independently developed methods;
- lawful professional activities;
- general industry knowledge.
9. CONFIDENTIAL & PROPRIETARY INFORMATION
You acknowledge that Licensed Materials may contain:
CONFIDENTIAL, PROPRIETARY, AND TRADE SECRET INFORMATION
including but not limited to:
- scanner workflows;
- assignment methods;
- licensing systems;
- monetization strategies;
- station outreach methods;
- journalism workflows;
- operational systems;
- proprietary frameworks.
You agree not to:
- disclose;
- teach;
- publish;
- reproduce;
- redistribute;
- commercially exploit;
- share
confidential methods without prior written authorization.
These obligations survive termination.
10. ANTI-PIRACY ENFORCEMENT
Unauthorized copying, redistribution, sharing, reposting, uploading, downloading, or piracy is strictly prohibited.
This includes:
- Telegram sharing;
- Discord sharing;
- Google Drive sharing;
- Dropbox sharing;
- unauthorized cloud storage;
- torrent websites;
- reposted uploads;
- account sharing;
- unauthorized team use.
RMG News Academy actively protects its intellectual property rights.
Violations may result in:
- DMCA takedowns;
- account termination;
- cease and desist demands;
- legal action;
- injunctions;
damages claims.
11. LIQUIDATED DAMAGES
You acknowledge that unauthorized redistribution, piracy, account sharing, unauthorized training, commercial misuse, newsroom misuse, or unlawful exploitation of Licensed Materials may result in:
SUBSTANTIAL DAMAGES THAT ARE DIFFICULT TO CALCULATE PRECISELY.
Accordingly, RMG News Academy may seek:
LIQUIDATED DAMAGES OF UP TO \$5,000 USD PER VIOLATION
representing a reasonable pre-estimate of:
- lost licensing value;
- lost revenue;
- diminished course value;
- investigative costs;
- enforcement costs;
- administrative costs;
- reputational harm;
- legal exposure;
- intellectual property harm.
or:
ACTUAL DAMAGES, IF GREATER.
This provision is intended to represent a:
REASONABLE ESTIMATE OF DAMAGES
and not a penalty.
RMG News Academy additionally reserves the right to seek:
- injunctive relief;
- equitable remedies;
- attorneys[‘]{dir=”rtl”} fees where permitted by law;
- additional lawful damages.
12. ENFORCEMENT RIGHTS
RMG News Academy reserves all rights to enforce violations of these Licensing Terms.
Enforcement measures may include:
- account suspension;
- permanent revocation of access;
- cease and desist demands;
- DMCA takedown notices;
- payment recovery;
- legal action;
- injunctions;
- arbitration;
- collections efforts.
Failure to immediately enforce any violation shall not constitute:
A WAIVER OF RIGHTS.
13. SUSPENSION & TERMINATION
RMG News Academy reserves the right to:
IMMEDIATELY SUSPEND, RESTRICT, REVOKE, OR TERMINATE ACCESS
for reasons including but not limited to:
- piracy;
- account sharing;
- unauthorized redistribution;
- newsroom misuse;
- unauthorized teaching;
- confidentiality breaches;
- payment abuse;
- fraudulent conduct;
- misuse of proprietary content;
- violation of these Licensing Terms.
Termination does not eliminate:
- payment obligations;
- confidentiality obligations;
- liability exposure;
- legal remedies;
- intellectual property protections.
No refunds shall be owed:
EXCEPT WHERE REQUIRED BY APPLICABLE LAW.
14. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
LICENSED MATERIALS ARE PROVIDED:
“AS IS” AND “AS AVAILABLE.”
RMG News Academy disclaims all warranties, express or implied, including:
- merchantability;
- fitness for a particular purpose;
- uninterrupted access;
- compatibility;
- reliability;
- availability;
- business outcomes.
No guarantee is made regarding:
- earnings;
- licensing success;
- monetization;
- journalism outcomes;
- footage sales;
- business success.
15. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
RAISHBROOK MEDIA GROUP, LLC D/B/A RMG NEWS ACADEMY, ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SUCCESSORS, ASSIGNS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR:
- indirect damages;
- incidental damages;
- consequential damages;
- punitive damages;
- business interruption;
- lost profits;
- lost licensing revenue;
- monetization failures;
- reputational harm;
- legal claims;
- educational reliance;
- technology failures.
TO THE FULLEST EXTENT PERMITTED BY LAW:
OUR TOTAL AGGREGATE LIABILITY
shall not exceed:
THE TOTAL AMOUNT ACTUALLY PAID BY YOU
for the applicable Licensed Materials giving rise to the claim during the preceding:
TWELVE (12) MONTHS.
16. INTERNATIONAL USERS
You acknowledge that laws governing:
- copyright;
- privacy;
- education;
- intellectual property;
- competition;
- consumer rights
may vary between jurisdictions.
You remain solely responsible for complying with laws applicable to your location.
Nothing in these Licensing Terms limits:
NON-WAIVABLE LEGAL RIGHTS
where required by applicable law.
17. GOVERNING LAW
These Licensing Terms shall be governed exclusively by:
THE LAWS OF THE STATE OF CALIFORNIA
without regard to conflict-of-law principles.
The:
UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS
shall not apply.
18. VENUE & DISPUTES
Any dispute arising from or relating to these Licensing Terms shall be governed by the:
TERMS OF SERVICE & USER AGREEMENT
including mandatory arbitration provisions.
Where arbitration does not apply:
EXCLUSIVE VENUE
shall be located in:
LOS ANGELES COUNTY, CALIFORNIA.
You waive objections based upon:
- improper venue;
- inconvenient forum;
- jurisdictional objections.
19. SURVIVAL
The following provisions survive termination indefinitely:
- intellectual property protections;
- confidentiality obligations;
- anti-piracy provisions;
- damages provisions;
- competitive restrictions;
- liability limitations;
- governing law;
- venue;
- enforcement rights.
20. SEVERABILITY
If any provision of these Licensing Terms is determined unenforceable:
THE REMAINING PROVISIONS SHALL REMAIN IN FULL FORCE AND EFFECT.
21. ENTIRE AGREEMENT
These Licensing Terms, together with the:
- Terms of Service & User Agreement;
- Privacy Policy;
- Refund & Billing Policy;
- DMCA & Copyright Policy;
- Disclaimer & Assumption of Risk;
- Media & Journalism Legal Notice;
- Media Ethics Disclaimer;
- Community Guidelines;
- Affiliate Disclosure Policy;
- AI Disclaimer & Acceptable Use Policy;
- Website Disclaimer & Legal Notice
constitute the complete agreement regarding Licensed Materials.
In the event of a direct conflict between these Terms and the:
TERMS OF SERVICE & USER AGREEMENT
the Terms of Service shall control,
except where expressly stated otherwise or where prohibited by applicable law.
